Remuneration
Remuneration. The presiding directors of HD Faculty™ may fix the remuneration of directors, officers, employees, and agents. However, no remuneration will be paid to a director, as a director, unless Special Resolution first confirms it.
Remuneration Disclosure. HD Faculty™ believes that full disclosure of current remuneration packages should be disaggregate and should include commercially sensitive terms. The presiding management is required to ensure that there is a detailed breakdown of a director and officer's service agreement, which includes the following minimum items:
remuneration (including bonuses and similar payments);
duration;
benefits;
pension arrangements; and
termination conditions.
Irrespective of the director and officer’s remuneration, HD Faculty™ is of the opinion that the set requirements should apply to previous directors and officers in the same way as they apply to presiding directors and officers; whereby a director or officer resigns and receives a payment without prior shareholders approval.
