Without limiting the proscriptive rules of law, these guiding principles set out the directors’ primary function, which is to establish overall direction and policy and to make final determinations and enforcement decisions on enforceable matters. From time to time, the directors are responsible for adopting a set of good guiding principles that embody their vision of how HD Faculty™ is to conduct its business affairs.

Empower and Enforce. The Directors shall ensure that the presiding management of HD Faculty™:

•

has the capacity to carry out the purposes of HD Faculty™ in respect to the governing laws, regulations and HD Faculty™'s rules, and to enforce compliance by its members and associated persons with those laws, regulations, and rules;

•

treats all clients of HD Faculty™ and users of its products in a fair and consistent manner;

•

develops rules and regulations that are designed to set standards of behaviour towards its clients and their respective members and to promote investor’s protection;

•

co-operates with the regulators and other authorities to investigate and enforce applicable laws and regulations;

•

enforces its own rules and imposes appropriate sanctions for non-compliance;

•

assures a fair representation of shareholders in the selection of directors and the administration of its affairs;

•

avoids rules that may create unfair competitive situations; and

•

ensures that the appointed compliance committee has comprehensive inspection, investigation, surveillance and enforcement powers.
