Access to, use of or downloading of information, documents, software and products (collectively 'the Materials') from this interactive system is subject to the terms and conditions below.

We reserve the right, at our discretion, to add, modify, or remove portions of these Terms of Use at any time. If you visit our site, you accept to be bound by the then current conditions.

Any and all rights, including title, ownership rights, copyright, trademark, patents, and any other intellectual property rights of whatever nature, in the services or products described in this interactive system, including any associated processes or any derivative works, will remain the sole and exclusive property of HD Faculty™and/or its affiliates, sponsors, related companies, or partners, whatever the case may be.

Member conduct and password protection

You will receive a password and account designation upon completing the full registration process. You are responsible for maintaining the confidentiality of the corporate account number, your password or access code and username, and are fully responsible for all activities that occur under your password or access code and username. You agree to (a) immediately notify HD Faculty™ of any unauthorised use of your password or access code and username or any other breach of security, and (b) ensure that you exit from your account at the end of each session (logout). HD Faculty™ cannot and will not be liable for any loss or damage arising from your failure to comply with this Section

You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated.

Message and communication facilities

Where this interactive portal contains blogs, forums, bulletin boards, chat rooms, news groups, access to mailing lists or other message, or communication facilities (collectively, "Forums"), as user of this interactive system you agree to use the Forums only to send and receive messages and material that are proper and related to the particular Forum. By way of example, and not as a limitation, as an authenticated user, you agree that when using a Forum, you shall not do any of the following:

Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others.
Publish, post, distribute or disseminate any defamatory, infringing, obscene, indecent, or unlawful material or information.

The user acknowledges that any messages and communications by other users are not endorsed by HDFaculty.Ca (HD Faculty™), and such communications shall not be considered reviewed, screened, or approved by HD Faculty™, and the Capliance officer or System Information Manager of HD Faculty™ reserves the right for any reason to remove without notice any contents of the Forums received from its users.

General

This agreement is governed by the laws of Ontario, Canada, unless otherwise stated. You hereby irrevocably consent to the exclusive jurisdiction and venue of courts in Ontario, Canada in all disputes arising out of or relating to the use of the HDFaculty.Ca websites, interactive portal, operating system, or Services.

Use of the HDFaculty.Ca or its Service is unauthorised in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree to indemnify and hold HDFaculty.Ca, its parents, subsidiaries, affiliates, officers, and employees, harmless from any claim, demand, or damage, including reasonable attorneys' fees, asserted by any third party due to, or arising out of, your use of or conduct on the HDFaculty.Ca websites, interactive portal, operating system, or Services.

HDFaculty.Ca reserves the right to disclose any personal information about you or your use of the HDFaculty.Ca websites, interactive portal, operating system, or Services, including its contents, without your prior permission if HDFaculty.Ca has a good faith belief that such action is necessary to:

conform to legal requirements or comply with legal process;
protect and defend the rights or property of HDFaculty.Ca or its affiliated companies;
enforce the terms or use; or
act to protect the interests of its members or others.

HDFaculty.Ca’ (HD Faculty™’s) performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of HDFaculty.Ca’s (HD Faculty™) right to comply with governmental, court and law enforcement requests or requirements relating to your use of the HDFaculty.Ca websites, interactive portal, operating system, or Services or information provided to or gathered by HDFaculty.Ca (HD Faculty™) with respect to such use.

If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and HD Faculty™ with respect to the HDFaculty.Ca websites, interactive portal, operating system, or Services and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and HD Faculty™ with respect to the HDFaculty.Ca websites, interactive portal, operating system, or Services.

A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

Privacy

All information will be treated as confidential.

HD Faculty™ stands firm in respecting the privacy of its members, participants, alliances, their clients and any other users of this interactive system, as the case may be. None of the information will be provided, distributed, given or sold to third parties, unless otherwise required to execute its services to the respective member, participant, alliance, or user, according to the set terms and conditions of the respective agreements where applicable.

HD Faculty™ follows general principles in accordance with worldwide best practices on data protection.

HD Faculty™ may transfer data submitted to its interactive system within HD Faculty™’s organisation, including to the different HD Faculty™ offices, members, participants, related companies, partners, alliances, and/or affiliates, strictly in order to serve the needs of the data provider or its respected client subject to the respective laws and confidentiality agreements.

Information protection

HD Faculty™ is fully committed to data security. To prevent unauthorised access, maintain data accuracy and ensure the appropriate usage of the information by authorised users, we have put in place legal, physical, electronic, and organisational procedures to safeguard and secure the information provided to HD Faculty™ online. However, while HD Faculty™ strives to protect its user’s and/or their client’s information, as the case may be, HD Faculty™ cannot ensure the security of the information during transmission through the Internet. In this regard, be advised to take every precaution to protect your data while you are using the Internet.

Special admonitions for international use

Recognising the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable Content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from the country in which you are registered and/or hold office.
